KINGDOM OF HEAVEN TRUST GOVERNANCE SYSTEM

PRIVATE MEMBERSHIP ASSOCIATION OPERATING AGREEMENT

(Confidentiality · Non-Disclosure · Non-Circumvention)


I. GOVERNING AUTHORITY & JURISDICTION

This Agreement operates under and within the Kingdom of Heaven Trust (“KOH Trust”), an express private trust governed by the Everlasting Covenant and administered according to Biblical fiduciary law, equity, and private common law.

“There is one Lawgiver and Judge.” (James 4:12, CJB)

  1. The KOH Trust is the Settlor-origin Trust Authority.
  2. All subordinate systems, including Private Membership Associations, operate by delegation of trust authority, not by public charter, license, or statute.
  3. No provision herein shall be construed to submit the Trust, its trustees, beneficiaries, members, or assets to statutory, administrative, or regulatory jurisdiction.

II. TRUST–ASSOCIATION STRUCTURE

A. Trust Positioning

  • Kingdom of Heaven Trust – Supreme Governing Trust
  • Bulletproof Business & Estate Solutions – Operating Trustee / Administrative Arm
  • Private Membership Association (PMA) – Internal access and education mechanism
  • Member – Private participant, beneficiary-by-contract only

The PMA is not an independent entity.
It is a trust-operated access mechanism used to steward, disclose, and protect trust knowledge, methods, and estate governance systems.


III. PURPOSE OF THE PMA WITHIN KHTGS

The PMA exists solely to:

  1. Facilitate private education, trust literacy, and estate governance training
  2. Distribute trust instruments, templates, and processes in a controlled private setting
  3. Protect the intellectual, spiritual, and fiduciary assets of the KOH Trust
  4. Maintain separation between sacred/private trust operations and public commerce

No public offer is made.
No commercial solicitation exists.
All access is by private covenant.


IV. MEMBERSHIP AS TRUST PARTICIPATION

  1. Membership is application-based, discretionary, and revocable.
  2. Membership constitutes:
    • Acceptance of private trust jurisdiction
    • A covenant of confidentiality
    • A duty of non-harm to the Trust Estate
  3. Membership does not create ownership, voting rights, or public entitlements.

Members are participants, not consumers.


V. CONFIDENTIAL TRUST INFORMATION

A. Definition (Expanded to Trust Context)

“Confidential Information” includes, without limitation:

  • Trust governance doctrine and instruction
  • Biblical fiduciary interpretations and applications
  • Private estate administration processes
  • Trust instruments, declarations, indentures, schedules
  • Private commercial and equity-based strategies
  • Internal communications of trustees, stewards, or members
  • Any knowledge whose misuse would:
    • Damage the Trust Estate
    • Endanger trustees, beneficiaries, or stewards
    • Disrupt the public peace or invite profanation of sacred trust knowledge

Confidentiality is presumed, not optional.


VI. MEMBER DUTIES (AS COVENANT OBLIGATIONS)

Each Member covenants to:

  1. Non-Disclosure
    Not disclose Trust information to any third party—public or private—without express written authorization from the Trustee.
  2. Non-Replication
    Not reproduce, publish, commercialize, or systematize Trust materials outside the Trust.
  3. Non-Circumvention
    Not bypass the Trust, its trustees, or its processes to extract private benefit.
  4. Duty to Warn
    Immediately notify the Trustee of any breach, attempted breach, or hostile inquiry.

These duties are fiduciary in nature, even though the Member is not a trustee.


VII. EQUITABLE REMEDIES & LIQUIDATED DAMAGES

  1. Unauthorized disclosure constitutes irreparable harm to the Trust Estate.
  2. The Member agrees to liquidated damages of $100,000 USD per occurrence, acknowledged as reasonable and not punitive.
  3. Remedies include:
    • Injunction
    • Accounting
    • Disgorgement
    • Permanent exclusion from the Trust system

VIII. PRIVATE DISPUTE RESOLUTION

  1. All disputes are resolved privately, by:
    • Equity arbitration
    • Ecclesiastical or covenant-based tribunal
    • Private trust forum designated by the Trustee
  2. Public courts are expressly disfavored and may be used only to enforce private awards, not to adjudicate substance.

IX. NO PUBLIC AGENCY — NO WARRANTY

  1. No agency, partnership, or joint venture is created.
  2. All Trust materials are provided AS IS, for education and stewardship training.
  3. The Trust does not guarantee outcomes, results, or protection from public systems.

X. INTELLECTUAL & SPIRITUAL PROPERTY

  1. All materials remain property of the Kingdom of Heaven Trust.
  2. Members receive a limited, revocable, private-use license only.
  3. No implied license or transfer exists.

XI. INDEMNITY & NON-CONSENT

  1. Members indemnify the Trust against third-party and governmental claims arising from their breach.
  2. Consent to public jurisdiction is expressly denied.
  3. Any presumption of statutory authority over Trust property is rebutted ab initio.

XII. TERM & SURVIVAL

  1. This covenant is perpetual, unless released by the Trustee.
  2. Confidentiality and non-circumvention survive indefinitely.

XIII. ACCEPTANCE BY COVENANT

Acceptance occurs by conduct, including:

  • Applying for membership
  • Accessing Trust materials
  • Participating in Trust education or communications
